Position of works council in important decisions

Workshop regarding the rights and powers of a works council in important decisions to be taken by the company (eg, certain transactions) and practical tips for advice or consent procedures.

We can also provide a general introduction on the procedure and formalities of setting up a works council when the company meets the legal requirements for doing so and what to expect during the process.

Employment law aspects in mergers & acquisitions

Overview of the key employment law aspects in a merger or acquisition. We will discuss what topics should form part of a due diligence, the works council advice procedure, merger filing to SER and trade unions and transfer of undertaking issues (TUPE).

Position managing director

Workshop on the position of the managing director and his special employment and corporate relationship. We will discuss dismissal and appointment, the advantages and disadvantages of an employment agreement versus a management agreement, proposals from the Dutch Parliament to change the employment position of the managing director and also proposed changes in remuneration structures.

Tax aspects of mergers & acquisitions

We will discuss the most important tax aspects in mergers or acquisitions with real-life examples. We will discuss the difference between an assets/liabilities transaction and a share transaction, pre-transaction restructuring, loss carry forward, financing the transaction, and allocation of tax risks between the purchaser and seller. We will focus on recent developments regarding participation exemption, deduction of interest/thin cap, tax deductible acquisition costs and VAT.

Tax clauses in a share purchase agreement

Drafting and evaluating tax clauses in a share purchase agreement from a purchaser’s perspective. After a brief introduction on the impact of the transaction structure, the type of purchaser (private equity/strategic buyer), the acquisition process and the relation with the due diligence, we will continue with a more detailed overview on the allocation of tax risks between the seller and the purchaser through the inclusion of guarantees/indemnities. We will discuss several topics, such as the impact of a fiscal unity (secondary liability), how to deal with current financial years (who submits the tax return?) and the payments under guarantees/indemnities.
