Employment and employee consultation

We will discuss the difference between an assets/liabilities transaction and a share transaction, pre-transaction restructuring, loss carry forward, financing the transaction, and allocation of tax risks between the purchaser and seller. We will focus on recent developments regarding participation exemption, deduction of interest/thin cap, tax deductible acquisition costs and VAT. |
| Tax clauses in a share purchase agreement | Drafting and evaluating tax clauses in a share purchase agreement from a purchaser’s perspective. After a brief introduction on the impact of the transaction structure, the type of purchaser (private equity/strategic buyer), the acquisition process and the relation with the due diligence, we will continue with a more detailed overview on the allocation of tax risks between the seller and the purchaser through the inclusion of guarantees/indemnities. We will discuss several topics, such as the impact of a fiscal unity (secondary liability), how to deal with current financial years (who submits the tax return?) and the payments under guarantees/indemnities. |
